The following is a legal binding agreement between you or other entity on whose behalf you are entering into this agreement ("you" or "Customer") and Ignited Ideas, LLC, a South Carolina corporation with its office at 6 Chukar Way Greenville SC 29617 ("Ignited Ideas, LLC").
"Visuals" shall refer collectively to provided photos and graphics with or without composite text, logos or other images.
"Content" shall refer collectively to written copy.
The following Terms of Service ("TOS") constitutes an agreement between Customer and Ignited Ideas, LLC setting forth the rights and obligations with respect to any Visuals and Content licensed by you. By agreeing to the TOS, you agree that these terms control your rights and obligations with respect to all Visuals and Content licenses set forth herein, notwithstanding the license you may be purchasing today.
- This is a single seat license authorizing one natural person to license, download and use the Visual and Written Content of this package.
- You are granted a non-exclusive, non-transferrable right to use Visuals and Content permitted by this agreement and subject to the following limitations outlined in these TOS.
- You acknowledge this content is non-exclusive and may also be used and distributed by other customers who purchase this Creative Content Package from Ignited Ideas, LLC.
- You acknowledge the content provided is copyrighted and owned by Ignited Ideas, LLC and that you are being granted permission use this content in the following ways:
You May Include provided Content and Visuals:
- As articles on your website
- As Blog Posts
- As an Email Message
- As part of Social Media Post
- You may add your logo and signature to the written content for promotional purposes. You may also make small edits to the content to make it relevent to specific seasons, holidays or to suit your intended audience. This in no way grants you ownership or copyright of the Visuals or Content.
You may not:
- Resell this information in any form. "Non-transferable" means that except as specifically provided in these TOS, you may not sell, rent, load, give, sublicense, or otherwise transfer to anyone, Visuals or Content or the right to use Visuals or Content.
- Publish it in a printed or electronic book either for promotion or resale
- Use it for any other purpose other than outlined above
- Use content in a way that a reasonable person would find offensive, including but not limited to: a) in connection with pornography, "adult videos", adult entertainment venues, escort services, dating services, or the like; b) in connection with the advertisement or promotion of tobacco products; c) in a political context, such as the promotion, advertisement or endorsement of any party, candidate, or elected official, or in connection with any political policy or viewpoint; d) as suffering from, or medicating for, a physical or mental ailment; or e) engaging in immoral or criminal activities
Liability:
- Ignited Ideas, LLC shall not be liable for any damages, costs or losses arising as a result of modifications made to the Visuals or Content or due to the context in which the Visuals or Content is used by you.
- You will indemnify and hold Ignited Ideas, LLC, its officers, employees, shareholders, directors, managers, members and suppliers, harmless against any damages or liability of any kind arising from any use of the Visuals and Content other than the uses expressly permitted by these TOS. You further agree to indemnify Ignited Ideas, LLC for all costs and expenses that Ignited Ideas, LLC incurs in the event that you breach any of the terms of this or any other agreement with Ignited Ideas LLC.
